Terms and Conditions

The terms for using this website and the general terms behind every quotation and order from IMPERA-TEX.

Last updated 14 October 2026

About These Terms

These terms apply to your use of this website and to quotations and orders with IMPERA-TEX GmbH (“IMPERA-TEX”, “we”, “us”). Our company details are listed on this page.

Your written quotation or order confirmation sets the specific terms of an order, such as prices, payment, delivery, samples and quantity tolerances. Where they differ from these terms, the quotation or order confirmation prevails.

Our services are for businesses, public institutions and other professional buyers. We do not sell to consumers. If you act for a company or organisation, you confirm that you may accept these terms on its behalf.

Using This Website

You may use this website to learn about our products and services, build a quote list and contact us. Please don’t misuse it: don’t try to break into it, overload it, send automated or false requests through its forms, or use it for anything unlawful.

Product descriptions, images and specifications on the website are general information. Colours on screen can differ from the real fabric, and products can be changed or withdrawn. We work to keep the website accurate and available, but we don’t guarantee that it is always complete, current or uninterrupted.

Quote Requests and Quotations

  • The website shows no prices. A quote list you send is a request for a quotation, not an order, and doesn’t bind you or us.
  • Your price is set only by a written quotation from us, based on your final specification, quantities, fabrics and delivery terms. Each quotation states how long it is valid.
  • Unless a quotation says otherwise, prices are in euro and exclude VAT and shipping.
  • If a quotation contains an obvious error, we may correct it before an order is confirmed.

Orders

A contract is formed only when you accept our written quotation and we confirm your order in writing. We may decline an order, for example if we can’t produce it to the required quality or schedule.

Payment terms, delivery terms (including Incoterms), samples, approvals and any deposit are set out in your quotation or order confirmation.

Your Specifications, Designs and Materials

  • You are responsible for the specifications, tech packs, size charts, artwork, logos and other material you give us, and for checking and approving samples.
  • Once you approve a sample or a pre-production sample, we produce to the approved sample.
  • You confirm that you own, or have permission to use, everything you give us (including designs, logos, insignia, trademarks and any personal data of other people), and that it doesn’t infringe anyone’s rights. You will compensate us for claims, losses and costs arising from material you supply that infringes someone’s rights.
  • Where you supply fabrics or trims (CMT production), you are responsible for their quality, quantity and timely delivery to the production site.
  • Your designs stay yours. We use them only to quote for, develop, produce and deliver your order, and we show your products as references only with your permission.

Colour, Materials and Quantities

  • Colours can vary slightly between fabric lots, dye batches and materials. Variations within the tolerances agreed in your order, or within normal industry tolerances where none are agreed, are not a defect.
  • If a specified material becomes unavailable, we may propose an equivalent of the same or better quality and will use it only with your agreement.
  • Garment production involves small overs and unders. The quantity delivered may differ slightly from the quantity ordered, within the tolerance stated in your order confirmation, and is invoiced as delivered.

Production and Delivery

Lead times in quotations are estimates. They start once your specification is final, samples are approved, any customer-supplied materials have arrived and any agreed payment is received. We do our best to meet them but are not liable for delays caused by carriers or by events outside our control.

Please inspect your delivery when it arrives, note any visible damage on the carrier’s delivery receipt and tell us as soon as possible.

Defects and Complaints

Please inspect the goods without undue delay after delivery and tell us in writing about any defect, with photos and, where we ask, sample pieces. Hidden defects should be reported as soon as you find them.

Where a defect is confirmed, we will at our choice repair or replace the affected pieces, or refund the affected part of the price. Deviations within the tolerances above, and products made to an approved sample or to your specification, are not defects for that reason.

Intellectual Property

The website, its text, design, logo, illustrations and photography belong to us or our licensors. You may view and share pages for your own use, but not copy, republish or sell them without our written permission.

Logos of customers and partners shown on the website belong to their owners.

Our Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and where we have given a guarantee.

For slight negligence we are liable only for breach of an essential contractual obligation, and then only for the foreseeable damage typical for this kind of contract. Otherwise, liability for slight negligence is excluded.

The website is provided as it is, without guarantees that it is error-free or always available.

Events Outside Our Control

We are not responsible for delays or failures caused by events outside our reasonable control, such as supply shortages, transport disruption, strikes, power or IT failures, natural disasters, epidemics, war or government action. We will tell you as soon as possible and resume as soon as we can.

Governing Law and Disputes

These terms and any contract with us are governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Where permitted, disputes will be settled by the competent courts of Munich.

Before going to court, please contact us: most issues can be resolved quickly by talking.

General

If any part of these terms is found invalid, the rest still applies. If we don’t enforce a term straight away, we can still enforce it later. Your quotation, order confirmation and these terms are the whole agreement for an order. Your own general terms of purchase apply only if we accept them in writing.

We may update these terms from time to time. The date at the top shows the latest version; the version in force when your order was confirmed applies to that order.
